Charoen Pokphand Intertrade Singapore Pte Ltd (cpshopz.sg) owns and operate this website. This document governs your access and use of the CP shopz website (cpshopz.sg) and your relationship with CP shopz ("we", "us", "our", the "Website") and the products and services available through this website. Please read these Terms of Use carefully before registration to understand your legal rights and obligations with Charoen Pokphand Intertrade Singapore Pte Ltd.  Only registered customers are able to place orders through CP shopz. Guest shoppers may only browse but cannot place orders.

By accessing this Site and/or using the Services, you unconditionally agree and accept to be legally bound by these Terms of Use including our Security & Privacy Policy. CP shopz reserve the right to amend/update this Terms and Conditions at its sole discretion without notice to the Customer. If you do not accept these Terms of Use, please leave the Site and/or discontinue use of the Services immediately.

Account Information

1. To access certain parts of the Site or Services, you are required to sign-up for an account with CP shopz (“Account”) and select a username ("User Name") and password ("Password").
2. You are solely responsible for safeguarding and maintaining the confidentiality of your User Name and Password.  You agree not to:
• share or permit others to use your Account or Password; or
• assign or transfer your Account to any other person or entity.
3. You are bounded by and responsible for all communications and online activity transmitted or conducted through the use of your Account. CP shopz will not be liable for any loss, damage, cost, expenses, or liabilities that arise as a result of or in connection with the wrongful or fraudulent use of your Account.  If you are aware of any actual or suspected unauthorised use(s) of your Account, or loss, theft, or unauthorised disclosure of your Password, please notify us immediately at cpshopz@cpisgp.com.sg. You may not authorise others to use your Account, and you may not assign or transfer your Account to any other person or entity
4. One (1) Account may only register one household or delivery address. Multiple Account(s) registering the same delivery address may be permitted at our sole discretion.
5. Please provide accurate, complete, and up-to-date information required for your Account. You may change or update your Account information at any point of time.
6. In the case of any violation in these Terms of Use, we reserve the right at our sole discretion to immediately:
• cancel any orders placed through such Account(s);
• cancel or invalidate any credits or discount vouchers, coupons or codes awarded to or used by such Account(s) and charge full price for items purchased; 
• prohibit such Account(s) or persons from participating in any promotions, contests or surveys of CP; and/or
• merge, suspend and/or terminate Account(s)  

Personal Data Protection Act 2012

1. In line with the Personal Data Protection Act 2012 (PDPA), you agree that Charoen Pokphand Intertrade Singapore Pte Ltd and its related or affiliated co-operatives and organisations (hereafter collectively referred to as "CP", "we", "us" or "our") may collect, use, process, disclose, and/or transfer your personal data for the purposes of administering, maintaining and terminating your membership and keeping you informed of updates, changes and developments, the scope of which may include but is not limited to:
• administering and maintaining your account with us, including administering any benefits and entitlements;
• engaging third-party service providers to perform certain aspects of the services offered by us;
• unless you notify us that you do not wish to receive such information, sending you information via e-mail with regard to products and services, promotions and special offers, upcoming events and other information which may be of interest to you;
• customer profiling, market analysis and research purposes to improve our product and service offerings to you;
• notifying you about important changes to the rewards program;
• responding to queries or feedback from you;
• enforcing these Terms and Conditions and our legal rights and remedies; and
• for such other purposes as permitted by applicable law or with your consent.
2. In compliance with the PDPA, CP will not send marketing messages to Singapore telephone or facsimile numbers belonging to you unless you have given us clear and unambiguous consent to do so. If you have previously given us your consent, we will send you marketing messages until you advise us in writing that you wish to withdraw the consent.

Intellectual Property

You acknowledge that CP shopz website contains information, data, software, photographs, graphics, typefaces, music, sounds and other material (collectively "content") that are protected by copyrights, trademarks, database and other intellectual property rights owned by us.
You may not modify, reproduce, copy or distribute any content on CP shopz for commercial purposes without our prior consent.

Use of the Website

You may not use CP shopz for any of the following purposes:

1. Disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material
2. Transmitting material that encourages conduct that constitutes a criminal offence or results in civil liability or otherwise breaches any relevant laws, regulations or code of practice
3. Gaining unauthorised access to other computer systems
4. Interfering with any other person's use of the website
5. Interfering or disrupting networks or web sites connected to the website
6. Making, transmitting or storing electronic copies of materials protected by copyright without the permission of CP shopz.

Website Availability

Whilst attempts will be made to ensure that access to CP shopz website is available at all times, the Site may occasionally undergo maintenance. CP shopz website includes links to other websites and materials which are beyond its control.

Product and Pricing Information

Whilst CP shopz try and ensure that all Product, colour, details, descriptions and prices which appear on this Website are accurate, CP shopz reserves the right to vary the price and other details of the Products without notice. CP shopz is not liable for situation when they differ from the actual Product.

The prices advertised on CP shopz are meant for home delivery shopping only and these prices may vary from those found at other retailer stores.

In the event of any price differentials between the online order billing and the final bill whether arising from substitutions, daily price changes, out-of-stock Products, special price, mislabelling or mispricing etc, CP shopz reserves the right to amend the final bill after the online bill is presented/conveyed to the Customer and such amendments will be final.

CP shopz shall not be liable for any loss, damage incurred or inconvenience suffered in the event CP shopz declines to fulfil an order for whatever reason including, but not limited to an unforeseen circumstance (e.g. lack of availability, quantity or specification etc) as the case may be.

We regret that all CP shopz orders are not entitled to promotion/lucky draws offered by other retailers, unless otherwise stated.

Product Unavailability

All orders are subjected to Product availability. In situations of stock unavailability, CP shopz reserves the right to proceed with the order accordingly. Special offers are only valid while stocks last. Traders are not allowed. CP shopz reserves the right to reject, and/or limit quantities on any orders received.

Exchange, Return and Refunds

Please check your order upon delivery. Should there be discrepancies in items received, kindly send us an email here. All issues must be reported within 1 working day after receiving the Products.

Refunds for Product purchased under the promotional offer will be based on the terms of the promotional price. Any request of refunds and exchanges may require a physical visit to CP Singapore office upon an agreed arrangement between customers and CP shopz. Gift items and hampers are non-exchangeable.

Discrepancies will be dealt with in the following manner:

1. If any Product is proved to have been delivered in a damaged / defective condition or wrong items delivered, exchange of Products / refund will be offset in the next order placed.
2. If additional/wrong or damaged Products are delivered, CP shopz reserves the rights to collect the Products from customer.
3. If items are wrongly or short delivered by mistake, CP shopz reserves the rights to refund the difference or supply the correct / short delivered item upon customer's future order.
4. If an item is damaged, CP shopz reserve the rights to request for photo evidence.

Payment

Payment for all orders are to be made in Singapore dollars. We accept payment for orders by PayPal only. Kindly note that PayPal currently accepts MasterCard, Visa, American Express and Discover cards. Payment methods accepted by PayPal are subjected to change. CP shopz is unable to accept paper checks, food stamps, or third-party coupons. CP shopz reserves the right to change the mode of payment for Products offered online at any time by announcement via its website, email blasts and any other means of public communication.

Delivery /Order Amendment

To ensure the quality and integrity of your Products, CP shopz uses a proprietary cooling system when delivering your Products. To maintain the integrity of products after delivery, it is recommended that chilled or frozen Products are refrigerated immediately.

Bulk orders may be subjected to a different delivery cost and may require a longer delivery time to be fulfilled.  “Bulk order” refers to an order for any product that comprises quantities of beyond 48 units, unless otherwise stated in writing by CP shopz.

CP shopz will only deliver your order to the front door at the stated delivery address. In the event where CP shopz has been notified to leave your order on your doorstep, CP shopz shall not be liable for any consequential, indirect or special damages or loss.

Delivery slots are subjected to availability. CP shopz will try to deliver the products to your delivery address within the delivery time frame selected by you, but does not and cannot guarantee that the selected delivery time frame will be met as there may be external factors such as weather, traffic, haze, etc.  CP shopz will not be liable for any deliveries made outside the delivery time frame. Should your designated delivery location be inaccessible, resulting in us being unable to make the delivery, we will contact you to determine the best alternative location and/or date.

Please notify CP shopz immediately should there be any change to your delivery address, date or time of delivery, or contact number.  Any changes in the delivery address, date or time of delivery after the confirmation of your order may incur an administrative charge of S$20.00. 

If an order is cancelled, or if no one is at the delivery location to receive the order during the chosen delivery slot, CP shopz reserves the right to charge a restocking fee equal to the sum of (1) 100% of the total dollar value of your frozen items, plus (2) a re-delivery or cancellation fee of S$20.00.

Once an order is being processed, amendments to the order will not be accepted. To add items, kindly create a new order within 48 hours prior to delivery and inform us via email here. All amendments, if agreed to surcharge or cancellation of deliveries, must be confirmed email. 

Limitation of Liabilities

CP shopz shall not be liable for any consequential, indirect or special damages or loss. To the extent that CP shopz is liable in contract, tort or otherwise for any loss, damage or injury arising directly or indirectly from any defect in or non-compliance of the Product or any other breach of CP shopz’s obligations hereunder, such liability shall not in any event exceed an amount equivalent to the price of the Product(s).

Both CP shopz and the delivery company will not be held responsible for any damages or loss of Products after delivery. The Customer shall not use the Product in any manner and/or for any purpose for which they are unsuited for and will be responsible for using all necessary skill and care in handling and using the Product. The Customer expressly agrees that CP shopz assumes no obligation or liability for any advice or information given with the Products and CP shopz assumes no responsibility for any inaccuracy or misstatement of any such information. The Customer assumes all risks connected with the use and storage of the Product.

Customer unreservedly acknowledges and agrees that he/she assumes all risk in connection with the use of this site. CP shopz shall not be liable for any direct, indirect, consequential or punitive damage or loss of profits or loss of revenue, however arising from the use of, access to the site.

Without limitation to the foregoing:

This site and all information contained herein is provided on a "as is" without any implied or express warranty including of any implied warranty as to title, quality, merchantability, fitness for purpose, or non-infringement. Before acting on the information found on CP shopz website, please confirm the facts that are important to your decision making. Product information on our website may differ from information on the products for a variety of reasons including such things as manufacturers’ updates and changes. CP reserves the right to change or update information on any product on CP shopz at any time without prior notice.

To the fullest extent permitted by law, CP shopz shall not be liable for any error or omission in the content of the site including any damage or injury arising out of or in connection with any access or use of the site whether such damage/injury is caused by failure of performance, error, omission, defect, delay in operation, computer virus, theft etc.

Colours

CP shopz takes great care to display the accurate colours of our products that appear on the website. However, the actual product colour may differ from the website due to your monitor’s display.

Third Party Sites

There may be occasions when materials on or of third Parties are provided on CP shopz website. CP is not responsible for the content and activities of any third party site linked from and beyond CP shopz site. Your visit to any third party site linked from CP shopz site is entirely at your own risk.

Promotional Codes

Promotional codes are valid for a limited or specified period only. CP reserves the right to modify, cancel or discontinue them at any time on the CP shopz website without any prior notice. Promotional codes are not transferable or redeemable for cash. Each promotional code has its own qualifying terms. The promotional code will be voided where prohibited by law. All offers are subjected to availability, while stocks last.

CP shopz shall not be liable to any Customer for any financial loss arising out of the refusal, cancellation or withdrawal of any order for any reason.

Promotions, Voucher Codes and other Privileges and Programmes

CP shopz may run promotions, contests, surveys, privileges and other programmes, subjected to additional terms and conditions, which can be found on the Site and are hereby incorporated by reference into these Terms of Use.

Promotions, contests, privileges, and programmes are only valid for the time period specified by CP shopz and on a while-stocks-last basis. No compensation or cash will be offered in the event when a promotion is no longer valid.

1. The following terms shall apply to the use of credits, vouchers, coupons and codes (“Voucher Codes”):
1. Each Voucher Code is only eligible for a single use and is only valid for the time period specified by CP shopz.
2. Voucher Codes may only be redeemed by purchasing certain products from CP shopz during the applicable validity period. Unless otherwise stated, Voucher Codes does not apply to delivery charges.
3. Use of any Voucher Code must be indicated before checkout, and all information required by CP shopz must be provided.  No retroactive use of the Voucher Code is permitted.
4. Voucher Codes cannot be used in conjunction with any other promotion, voucher, coupon, code or offer, including but not limited to discounted sale items, unless otherwise stated.
5. A minimum spending may be required before the use of the Voucher Code is permitted.
6. Voucher Codes cannot be refunded, redeemed or exchanged for cash.
7. Resale, transfer and sharing of Voucher Codes are strictly prohibited.  In spite of the above, gift vouchers, if offered by CP shopz, may be purchased by you and given to others. 
8. No reproduction, alteration, adaptation, tampering, distribution, publication, broadcast or other communication or dissemination of Voucher Codes is allowed.
9. Voucher Codes are non-replaceable if lost, stolen, destroyed, duplicated, tampered with or otherwise misappropriated or fraudulently used.
10. CP shopz reserves the right to verify the validity of any Voucher Code. If any Voucher Code that in our opinion has been stolen, duplicated, tampered with, or which is suspected to have been misappropriated or fraudulently obtained or used, CP shopz reserves the right to declare null and void the code and charge full price for items purchased.
11. CP shopz reserves the right to vary or impose other terms and conditions, as we deem appropriate by posting the varied terms and conditions on the Site, without prior notice.
2. Where any free gift is offered as part of a promotion, the free gift is offered on a “first come first serve” and while-stocks-last basis. No cash or credit will be offered in lieu of the gift.
3. Where you are permitted to return any product to CP shopz for a refund/credit and such product was originally purchased under a promotion or discount, you will only be refunded the amount that you originally paid for such product.  Where the promotion or discount had applied to the entire order, you will be refunded the selling price of the returned product less the promotion or discount applied to the returned product on a pro-rata basis.  Further, any free promotional gift given with an order must also be returned if you are returning the product(s) to which the gift is related to.  If the total order value is reduced below the value of the qualifying free delivery or any promotion qualification because of a returned item, CP shopz may charge the delivery fee and/or the full value of the order without the promotion.
4. CP’s decision on all matters relating to promotions, discounts, Voucher Codes and other privileges is final and binding.
5. CP reserves the right to discontinue any promotion, discount, Voucher Code programme, contest, privileges or programme without prior notice or liability.

Rewards and Reviews Programs

Your participation in both the Rewards and Reviews Programs is voluntary and is effective until terminated by either party. Either party may terminate your Rewards and Reviews Program participation at any time, with or without cause, by issuing the other party a written notice of termination. Notice of termination may be issued to you using the email address you provided during the registration process. Notice of termination may be given to us by sending us an email here. You are only eligible to accumulate referral rewards on sales occurring during the term of your Rewards Program participation. Unused Rewards will expire 90 days after the date when they are posted in your CP shopz account.

We may modify the terms of this Agreement and/or terminate the Rewards and Reviews Program at any time and by our sole discretion, by posting a change or termination notice on CP shopz website. Modifications may include, for example, changes in the scope of available referral rewards, reward schedules, redemption procedures and applicable rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE YOUR PARTICIPATION IN THE APPLICABLE PROGRAM. YOUR CONTINUED PARTICIPATION IN THE APPLICABLE PROGRAM WILL CONSTITUTE BINDING ACCEPTANCE OF ANY CHANGES. In the event of termination of the Rewards Program by us, it is our obligation to distribute Rewards Program rewards to you, in our sole discretion, in the form of Rewards to be used towards CP shopz.sg purchases (as the case may be). Our obligation is limited to a maximum of three months of Rewards, calculated based on your Rewards for the month prior to the month in which the Rewards Program is terminated.

We reserve the rights to terminate any account if we deem the account is linked to fraudulent referrals, reviews, disputed purchases or credit card charges; spam (unsolicited email) and indiscriminate advertising, or intentional misuse of the Rewards Program including, but not limited to, using more than one account.

YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO ALL THE TERMS OF THIS AGREEMENT AND THE REWARDS PROGRAM. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE REWARDS PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
We appreciate the "word of mouth" advertising our customers provide and reward you for introducing your relatives and friends to CP shopz. Rewards are accumulated when others use your email address or Rewards Code to place an order. Rewards can be used on purchases on CP shopz. This page is hereby incorporated by reference and included as part of this Agreement. WE RESERVE THE RIGHT TO TERMINATE THE REWARDS PROGRAM AT ANY TIME AND IN OUR SOLE DISCRETION.

When you receive Rewards, simply log into your CP shopz account and shop as you normally would. Once you begin adding items to your shopping cart, you will see available Rewards being automatically subtracted from your subtotal, assuming you have accepted the most recent Agreement. If you have not accepted the most recent Agreement, then no Rewards will be available for use until such time as the most recent Agreement has been accepted. Unused Rewards expire 90 days after the date when they are posted in your CP shopz account.

Your Rewards Code is only valid for use by first time customers that you have referred to CP shopz. To ensure that you don’t lose credit from referrals, CP shopz applies available Rewards automatically to your personal purchases, subjected to acceptance of this Agreement. WE RESERVE THE RIGHT TO TERMINATE THE REWARDS PROGRAM AT ANY TIME AND IN OUR SOLE DISCRETION.

Governing Law and Jurisdiction

These Terms and Conditions shall be construed in accordance with the applicable laws of Singapore. Both Customer and CP shopz irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of Singapore.

Termination

If you violate any of these Terms and Conditions, your permission to use the Website may be suspended or revoked, and we reserve the right to suspend or terminate your access to, and use of, the Website at any time.
